RESTRICTIONS ON THE TRANSFER OF SECURITIES

The shares have not been registered under the US Securities Act of 1933, as amended, or under the applicable securities laws of any of the states of the United States, and thus may not be offered or sold under in the United States or to US Persons or for the account or benefit of US Persons (as defined in Regulation S promulgated under the US Securities Act). The shares can only be offered to non-US Persons outside the United States and not for the benefit of any US Person (other than a distributor) in transactions exempt from the registration requirements of the US Securities Act in reliance on Regulation S. Accordingly, the shares are subject to certain transfer restrictions, including a restriction against hedging transactions involving the shares unless conducted in compliance with the US Securities Act. Certificates representing the shares bear a legend with respect to such transfer restrictions. The Company will refuse to register any transfer of shares not made in accordance with the provisions of Regulation S, pursuant to registration under the US Securities Act or pursuant to anther available exemption from registration under the US Securities Act.
